Those subsidiaries control local decisions, like distribution, pricing, and advertising. Now, Sony HQ is in USA, and the important choices are made there now, while the Sony Japan is now a subsidiary
If the FDA rejects the purchase in USA, it doesn't mean that Act Blizz deal won't go through and things will remain the same, specially when the deal was already aproved in multiple other countries. It's way more likely that they will move the "HQ" to a place that aproved the merger like Germany, for example. While the Blizzard from USA isn't allowed to have Microsoft as their boss, they will respond directly to the Blizzard HQ in Europe, that WILL have Microsoft as their boss.
Big acquisitions being blocked isn't anything new, it serves only for dumb beurocrats to flex their power. The companies just change their whole structure and in practive they are still working the same way.

The problem is that doing all this chair game is expensive and complicated, plus it loses the brand power that Xbox would have by marketing COD as a Xbox game in american soil.
Blocking this now doesn't serve the purpose of stopping monopoly, it would only serve to make less money go into american soil, and don't give Microsoft the brand recognition of owning COD, even though, technically, they do. It only benefits Sony.

Sony rejected that offer. Only Nintendo took the 10 year deal. MS has no requirement to keep making CoD on Playstation the second they obtain Activision.
